INVESTOR QUALIFICATIONS

Accredited Investors meet guidelines established by the U.S. Securities and Exchange Commission and should meet one of the following criteria:

• Have a net worth of at least $1 million excluding the investor's personal residence or
• Have individual income (excluding a spouse) for the past 2 years exceeding $200,000 annually which is reasonably expected to be maintained or increased or
• Have joint income (including a spouse) for the past 2 years exceeding $300,000 annually which is reasonably expected to be maintained or increased
